Spencer Partners Terms of Engagement and Fees

Our typical fee structure for advising on a company acquisition comprises:

  • Non-contingent retainer or daily rate fees, invoiced monthly or on milestones or for discrete deliverables (e.g. a research project resulting in the production of a short-list of potential acquisition targets).

  • A success fee contingent on completing an acquisition, which is either a pre-agreed amount or calculated as a percentage of the purchase consideration and (in either case) is payable on completion.

  • Out-of-pocket expenses, invoiced monthly.
